Host Property initiates a written procedure to request amendments in respect of the terms and conditions of its listed bond loan due 2022WRITTEN PROCEDURE
Host Property AB (publ) (the "Company") has instructed Nordic Trustee & Agency AB (the "Agent") to initiate a procedure in writing (the "Written Procedure") to request the bondholders' approval for amendments of the terms and conditions (the "Terms and Conditions") of the Company's outstanding SEK 500,000,000 senior secured and guaranteed floating rate bonds (ISIN: SE0013486057) (the "Bonds").
The proposed amendments to the Terms and Conditions include, amongst other things, amendments regarding the financial covenants and additional security. Please refer to the notice for written procedure dated 14 September 2020 (the "Notice for Written Procedure") for a more detailed description of all proposed amendments.
The Notice for Written Procedure is held available by the Agent on its web page, www.nordictrustee.com and is attached to this announcement. The Written Procedure is conducted in accordance with Clause 21 (Written Procedure) of the Terms and Conditions. The Issuer has appointed Nordea Bank Abp, filial i Norge to act as consent solicitation agent (the "Consent Solicitation Agent").
Important information regarding the voting fee and consent fee:
If the proposed amendments are approved, bondholders will receive a voting fee of 0.25 per cent of the nominal amount of each Bond for which such bondholder submits a valid vote prior to the voting deadline (equal to SEK 625 per Bond) in accordance with Notice for Written Procedure. Bondholders will be eligible to receive the voting fee whether voting for or against the proposed amendments to the Terms and Conditions. Bondholders that do not vote in respect of the proposed amendments to the Terms and Conditions by submission of a valid vote will not be eligible to receive the voting fee.
Furthermore, if the proposed amendments are approved all bondholders, either voting or not, will receive a consent fee of 0.75 per cent on the nominal amount of each Bond owned by such bondholder (equal to SEK 1,875 per Bond).
